Terms of Service

1. Agreement
By installing the Parlata Shopify app or using parlata.ai, you accept these Terms. If you don't agree to any of them, do not use the service. The merchant who installs the app is the contracting party for all Shopify-side interactions; their customers interact with us as covered by the Privacy Policy.
2. Description of service
Parlata is a voice-review collection app for Shopify. We send a post-fulfillment email to a merchant's customers, accept a voice or text review, transcribe it with AI, let the merchant moderate it, and display approved reviews on the merchant's storefront. We also offer a Customer Q&A feature that lets visitors ask product questions publicly.
3. Eligibility
You must operate a legitimate Shopify store and have authority to bind the business to these Terms. Stores selling content prohibited by Shopify's own merchant guidelines are not eligible.
4. Merchant obligations
You're responsible for (a) only sending review requests to customers who placed real orders with you, (b) honoring applicable spam, consent, and review-disclosure laws (CAN-SPAM, GDPR, the FTC Endorsement Guides, etc.), (c) approving content before it appears publicly, and (d) responding to customer privacy requests that reach you about Parlata-stored data — we'll forward Shopify GDPR webhooks but the controller relationship remains yours.
5. Acceptable use
You may not impersonate customers, bulk-generate or otherwise fabricate reviews, publish content that violates third-party rights, or use Parlata to send messages that aren't review or Q&A requests for an order the customer placed. We may suspend accounts that we reasonably believe violate this section.
6. Pricing and billing
Parlata offers Starter (free), Pro ($29/month), and Growth ($79/month) tiers, plus custom Enterprise terms. Paid plans are billed in USD through Shopify's Billing API on your regular Shopify invoice. Each paid tier comes with a 14-day free trial on first upgrade. Plan changes prorate automatically. Cancellation takes effect at the end of the current billing period; data is retained per the Privacy Policy.
7. Content and ownership
Customers retain rights in their own audio recordings and questions. By submitting them through Parlata, customers grant the merchant a non-exclusive license to display the recording and transcript on the merchant's storefront. Merchants own the moderation decisions and the curated public review set on their store. Parlata retains a limited internal license to process the recording (transcription, cleanup, summarization) but doesn't claim ownership and doesn't train third-party models on it.
8. AI-generated content
Some Parlata features use AI: transcription cleanup, sentiment-based stars, AI-suggested Q&A replies (Growth), and product-summary paragraphs (Growth). AI output may contain errors. Merchants are responsible for reviewing AI-suggested replies and summaries before publishing them. We mark AI-drafted answers in the moderation UI when applicable.
9. Termination
Either party may terminate at any time. Merchants terminate by uninstalling the app from their Shopify store or canceling the subscription; we may terminate by giving 14 days' notice via the merchant's contact email, or immediately if the account violates these Terms. Upon termination, data deletion happens per the Privacy Policy and the Shopify shop/redact webhook (within 48 hours of fire).
10. Disclaimer of warranties
Parlata is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, accurate transcription of every recording, or specific business outcomes from using the service.
11. Limitation of liability
To the maximum extent permitted by law, Parlata's aggregate liability under these Terms — for any cause — is limited to the greater of (a) USD 100 or (b) the amounts you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, or loss of data, even if we were advised of the possibility.
12. Indemnification
You agree to defend and indemnify Parlata against third-party claims arising from your use of the service in violation of these Terms, your storefront content, or your handling of reviews collected through Parlata.
13. Governing law and venue
These Terms are governed by the laws of Uruguay, without regard to conflict-of-laws principles. Any dispute will be resolved in the competent courts of Montevideo, Uruguay, except where mandatory consumer law in your jurisdiction provides otherwise.
14. Changes to these Terms
Material changes will be communicated to active merchants by email at least 14 days before they take effect; the 'Last updated' date at the top of this page reflects the most recent revision. Continued use after the effective date constitutes acceptance.
